Due Date

For all business types, the due date for your annual report is the anniversary of the date you formed or registered your company with the Oregon Secretary of State. For example, if you formed your LLC on November 1, 2024, your first annual report would be due by November 1, 2025.

State Filing Fee

Domestic LLCs, corporations, LPs, & LLPs $100
Foreign LLCs, corporations, LPs, & LLPs $275
Nonprofits, Cooperatives, & Religious Corporations $50

You’ll need to pay your filing fee online with a credit or debit card when you submit the annual report.

Filing your Oregon annual report

Annual reports in Oregon need to be completed online, through the Oregon Business Registry. Here’s how it works:

  1. First, you’ll be asked to enter your email address and Oregon Registry Number. If you don’t know your Registry number, you can find it by looking up your business name in the Business Registry Database.
  2. Once you’ve entered this information, select “Retrieve Renewal Detail.” Your business information will appear on the screen.
  3. Click “Start Renewal” under the text, “Renewal Due.” You’ll then be able to verify or update your business information.
  4. Once you’ve confirmed your information, you’ll need to sign the annual report electronically and pay the filing fee.
  5. The Secretary of State’s office will send you a confirmation email and Acknowledgment Letter once they’ve approved your annual report. Usually this only takes 1-2 business days.

Required business information

  • Business name. (Can’t be changed on the annual report. To change your business name, you’ll need to file Articles of Amendment.)
  • Statement of business purpose.
  • Principal office address.
  • Contact email and phone number.
  • State or country where your business was formed.
  • Registered agent name and address. (Must be a physical address in Oregon.)
  • Names, titles, and addresses for all officers, members/managers, or partners.

Note: The names and addresses on your annual report will go on the public record. If you want to minimize the information you share publicly, one solution is to hire a registered agent to file your annual report. When we file your annual report, we’ll list OUR address on the form instead of yours.

Benefits of Annual Report Service

Here’s why it makes sense to let a professional registered agent handle your annual report filings:

1. Real-time reminders before your annual report due date.

When you’re busy running a company, it’s easy to lose track of deadlines. That’s why we send multiple reminders well before your annual report is due, so you have time to decide whether you want to file yourself or have us file for you.

2. Never worry about your business becoming inactive.

Businesses in Oregon that don’t file the annual report on time are labeled “inactive.” After a while, they’re administratively dissolved by the state. As your registered agent, we’ll file your annual report on time, every time, making it easy to keep your company active.

3. Serious privacy protection.

The names and addresses on your annual report go on the public record, making you a target for advertisers, scams, and anyone you might not want knowing your personal address. When we file your annual report, we limit your exposure by:

  • Only including the minimum information required.
  • Putting OUR address down instead of yours.
  • Using our IP address instead of yours—so advertisers can’t trace the filing back to your personal computer.
  • Using our bank and credit card information instead of yours.

Additionally, we will NEVER sell your information to third parties. Privacy is one of our core values, and we do everything in our power to protect yours.
